Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") are a binding contract between you and Besmi LLC, an Oregon limited liability company ("Besmi," "we," "us"), governing your access to and use of the Besmi platform at besmi.com and our mobile apps (the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service. These Terms contain a binding arbitration agreement and a class-action waiver (Section 16) that affect your legal rights.

2. Eligibility and Accounts

  • You must be at least 18 years old to create an account.
  • You must provide accurate, complete information and keep it current.
  • You are responsible for safeguarding your credentials and for all activity under your account.
  • One person or business may not maintain more than one account without our permission.
  • You are responsible for your staff members' use of the Service under your account.

3. The Service

Besmi is a booking and business-management platform for beauty and wellness professionals, including appointment scheduling, client management, intake forms, messaging, an AI assistant, and payment tools. We may add, change, or discontinue features at any time.

4. Subscriptions, Fees, and Auto-Renewal

  • Paid plans are billed in advance on a recurring basis (for example monthly) through our payment processor, Stripe. By subscribing, you authorize us to charge your payment method for each renewal term.
  • Automatic renewal. Your subscription automatically renews at the then-current price at the end of each term until you cancel. If a free trial is offered, it converts to a paid subscription at the end of the trial unless you cancel before it ends.
  • How to cancel. You may cancel at any time in your account settings or by contacting support@besmi.com. Cancellation takes effect at the end of the current billing period; you keep access until then.
  • Refunds. Fees are non-refundable except where required by law. Canceling does not entitle you to a refund for the current period.
  • Price changes. We may change subscription prices; we will give you advance notice, and changes apply to the next renewal after the notice.
  • You are responsible for any applicable taxes. Overdue amounts may result in suspension of paid features.

5. Bookings, Payments, and Payouts

Besmi facilitates bookings and payments between professionals ("Providers") and their clients. The service agreement is solely between the Provider and their client; Besmi is not a party to it and is not responsible for the services a Provider delivers, for no-shows, cancellations, disputes, or refunds between them.

Payment processing, payouts, and in-person card acceptance are provided by Stripe, and your use of them is also subject to the Stripe Connected Account Agreement and Stripe's terms. Providers are responsible for their own pricing, taxes, refunds, chargebacks, and any optional card-processing-fee pass-through they enable. Besmi may charge platform or processing fees as described at the time of the transaction.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful, harmful, deceptive, or infringing purpose.
  • Send spam, or send messages to anyone who has not given the consent required by law.
  • Upload content that is offensive, harmful, or violates others' rights or privacy.
  • Collect or use personal information from your clients other than as permitted by law and your own privacy notice.
  • Attempt to access, probe, or disrupt the Service, its infrastructure, or other users' data without authorization.
  • Reverse engineer, scrape, or resell the Service except as permitted by law.
  • Impersonate any person or business, or misrepresent your affiliation.

7. Your Content and License to Us

You retain ownership of the content you upload (your page design, profile, photos, business name, and logo). You represent that you have the rights to that content and to any client information you provide.

By using the Service, you grant Besmi a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, use, reproduce, modify, display, and distribute your content to operate the Service, and to feature your page, screenshots, or public content in marketing, promotional campaigns, social media, advertisements, case studies, and product demonstrations. You may request removal from specific future marketing materials by contacting us, though content already distributed may not be retroactively recalled from all channels.

8. Messaging and Communications Compliance

Besmi provides tools to send SMS and email to your clients, including consent capture and automatic STOP/HELP handling. You are solely responsible for obtaining and maintaining the consent required by law (including the TCPA, CAN-SPAM, CASL, and carrier/A2P requirements) before messaging your clients, for the content of your messages, and for honoring opt-outs. You will not use the Service to send messages without a lawful basis.

9. AI Assistant

The AI assistant is provided "as is" and may produce inaccurate or incomplete responses. You are responsible for reviewing and monitoring AI-generated communications sent from your account. Besmi is not liable for actions taken, or messages sent, based on AI output.

10. Privacy and Data Processing

Our handling of personal information is described in the Privacy Policy. Where you use the Service to process personal information about your own clients, you are the controller of that information and Besmi acts as your service provider/processor; that processing is governed by our Data Processing Addendum, which forms part of these Terms. You are responsible for providing your clients with any privacy notice and obtaining any consent the law requires.

11. Intellectual Property

The Besmi platform, including its software, design, and branding, is owned by Besmi and protected by intellectual-property laws. Except for the rights expressly granted to you, we reserve all rights. We welcome feedback, and you grant us a perpetual, royalty-free license to use any feedback you provide.

12. Copyright / DMCA

If you believe content on the Service infringes your copyright, send a notice with the required details (identification of the work, the material, your contact information, and a good-faith statement) to support@besmi.com. We will respond to valid notices and may remove infringing content and terminate repeat infringers.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, secure, error-free, or that it will produce any particular business result. You use the Service at your own risk.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, BESMI WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO THE SERVICE. BESMI'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID BESMI IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE MAY NOT APPLY TO YOU.

15. Indemnification

You agree to defend, indemnify, and hold harmless Besmi and its officers, members, and employees from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your content and the personal information you collect or process, including your clients' data; (c) your messages and your compliance with messaging laws; (d) the services you provide to your clients; or (e) your violation of these Terms or of any law or third-party right.

16. Dispute Resolution, Arbitration, and Governing Law

Informal resolution first. Before filing a claim, you agree to contact us at support@besmi.com and try to resolve the dispute informally for at least 30 days.

Binding arbitration. Except as noted below, any dispute arising out of or relating to these Terms or the Service will be resolved by binding, individual arbitration administered by a recognized arbitration provider under its consumer/commercial rules, rather than in court. The arbitration will be held in or near Portland, Oregon, or conducted remotely.

Class-action waiver. Disputes will be brought only in your individual capacity, not as a plaintiff or class member in any class, collective, or representative proceeding.

Exceptions and opt-out. Either party may bring an individual claim in small- claims court, and either party may seek injunctive relief for intellectual-property or unauthorized-access matters. You may opt out of this arbitration agreement by emailing support@besmi.com within 30 days of first accepting these Terms.

Governing law and venue. These Terms are governed by the laws of the State of Oregon, without regard to conflict-of-laws rules. To the extent a dispute is not subject to arbitration, it will be brought exclusively in the state or federal courts located in Multnomah County, Oregon, and you consent to their jurisdiction.

17. Suspension and Termination

We may suspend or terminate your access for any violation of these Terms or to protect the Service or others. You may cancel your account at any time in settings or by contacting us. On termination, your right to use the Service ends; sections that by their nature should survive (including Sections 7 and 11 through 19) will survive. We handle your data after termination as described in the Privacy Policy.

18. Force Majeure

Besmi is not liable for any delay or failure to perform caused by events beyond our reasonable control, including outages of third-party providers, network or hosting failures, acts of God, or governmental actions.

19. General

  • Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
  • Severability. If any provision is unenforceable, the rest remains in effect.
  • No waiver. Our failure to enforce a provision is not a waiver of it.
  • Entire agreement. These Terms, the Privacy Policy, and the Data Processing Addendum are the entire agreement between you and Besmi regarding the Service.
  • Notices. We may provide notices to you by email or within the Service.

20. Changes to These Terms

We may update these Terms from time to time. We will post the updated version here and revise the "Last updated" date, and for material changes we may provide additional notice. Continued use of the Service after an update constitutes acceptance of the revised Terms.
